Mission Statement & Bylaws

Mission Statement (amended August, 1998)
As a constantly evolving center for youth, MAGY strives to make Memphis a better place for self-identified transgender, bisexual, lesbian, gay, and questioning youth by providing confidential peer support, education, and safe social gathering.


Bylaws (amended September, 1999)
I. NAME
A. The name of this organization shall be Memphis Area Gay Youth. It shall also be referred to as MAGY, pronounced “Maggie.”

II. PURPOSE
A. The purpose of this organization shall be to abide by our mission statement in furthering the support and affirmation of GLBTQ youth in the Memphis community.

III. MEMBERSHIP
A. Membership shall be limited to youth ages 13 through 20 without regard to sexual orientation or gender identification.
B. Membership begins upon attendance at the youth’s first MAGY meeting and ends upon his/her twenty-first birthday.
C. Membership entitles a student to vote on issues brought before the group and to attend and participate in all MAGY functions, social or support oriented. Membership also comes with the expectation that each member follow all policies of MAGY in good faith.
D. Membership can be revoked from individual members for disciplinary purposes in a manner established by the adult advisors of the group.

IV. CENTRAL BOARD
A. The Central Board shall consist of all adult advisors and any youth members who have attended three consecutive board meetings.
B. The Central Board members must follow all policies of MAGY in good faith. Failure to do so may involve removal from the board and/or the group in a manner established by the adult advisors.
C. The Central Board shall have regularly scheduled meetings to conduct business outside of the social/support meetings.

V. ADVISOR APPOINTMENTS
A. A prospective adult advisor (at least 23 years of age) must first meet with all current group advisors. The prospective advisor can then be invited to interview with the Central Board by consensus of the current advisors.
B. The Central Board must interview a prospective adult advisor. The Central Board can invite the person to become an advisor with a two-thirds majority vote.

VI. ADVISOR REMOVAL FROM OFFICE
A. Any adult advisor may be removed from office by a two-thirds majority vote of the advisor and youth membership at a specially called meeting, announced for that purpose, whenever the best interest of the organization will be served.

VII. AMENDMENTS
A. Any advisor or youth member may make amendments in writing to the Central Board. Discussion and a vote must take place within 60 days of submission at a regularly scheduled MAGY meeting.
B. A two-thirds majority vote is required for passage.

VIII. RATIFICATION
A. A three-fourths majority vote is required for ratification of this Constitution by the youth members and adult advisors. This Constitution will go into effect upon ratification.

IX. DISTRIBUTIONS
A. MAGY is organized exclusively for charitable and educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

X. LIMITATIONS
A. No part of the net earnings of MAGY shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that MAGY shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.
B. No substantial part of the activities of MAGY shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and MAGY shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.
C. Notwithstanding any other provision of these Bylaws, MAGY shall not carry on any other activities not permitted to be carried on: (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

XI. DISSOLUTION
A. Upon the dissolution of MAGY, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of MAGY is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
